ClipsPlaza is a digital marketplace that allows approved producers and studios to upload, list, sell, and distribute downloadable digital video products to customers.
ClipsPlaza provides marketplace technology, hosting, payment processing coordination, customer access, content delivery, administrative review, and payout tracking.
You are responsible for the content you upload, the legal rights attached to that content, and the accuracy of all information provided to ClipsPlaza.
To use ClipsPlaza as a Producer, you must:
a. be at least 18 years old
b. have legal authority to enter into this Agreement
c. provide accurate identity, studio, payout, and tax information when requested
d. comply with all applicable laws and regulations
e. own or control all rights necessary to upload, sell, and distribute your content
f. provide valid age, identity, and release documentation for all persons appearing in uploaded content
ClipsPlaza may reject, suspend, or terminate any Producer account at its discretion if eligibility requirements are not met.
A Producer account may represent:
a. an individual creator
b. a studio
c. a production company
d. a content supplier
e. another approved business entity
ClipsPlaza may request additional verification depending on the account type, country, payment method, risk level, content volume, or compliance requirements.
Before uploading or publishing content, Producers may be required to submit information for verification, including but not limited to:
a. legal name or company name
b. studio name
c. country of operation
d. contact email
e. payout information
f. identity documents
g. company documents, if applicable
h. additional compliance information requested by ClipsPlaza
ClipsPlaza may approve, reject, suspend, or request changes to any studio profile.
Only approved studios may submit content for publication.
For every person appearing in uploaded content, you must maintain and, when requested, provide:
a. proof of legal age
b. government-issued identity document
c. valid model release or performer consent document
d. production records required by applicable law
e. any additional documentation requested by ClipsPlaza
You represent and warrant that every person appearing in uploaded content was at least 18 years old at the time of production and legally consented to appearing in the content.
You must not upload content involving any person whose identity, age, consent, or authorization cannot be verified.
You retain ownership of the content you upload, subject to the license granted to ClipsPlaza under this Agreement.
By uploading content, you confirm that you own or control all necessary rights, licenses, permissions, consents, and releases required to:
a. upload the content to ClipsPlaza
b. display previews, thumbnails, titles, descriptions, and metadata
c. sell digital access or downloads to customers
d. allow ClipsPlaza to host, process, deliver, promote, and distribute the content
e. allow ClipsPlaza to remove, disable, moderate, or restrict the content when necessary
By uploading content, you grant ClipsPlaza a worldwide, non-exclusive, royalty-bearing, transferable, sublicensable license to host, store, process, encode, display, market, promote, distribute, sell, and deliver the content through the Platform.
This license is limited to operating, promoting, securing, and improving the Platform and fulfilling purchases made by customers.
If content is removed from public sale, ClipsPlaza may retain copies as necessary for:
a. legal compliance
b. customer purchase history
c. dispute handling
d. chargeback and refund review
e. fraud prevention
f. accounting records
g. audit logs
h. law enforcement or regulatory requests
i. backup and technical integrity
All uploaded content may be subject to review before publication.
ClipsPlaza may approve, reject, hide, remove, restrict, or request changes to any content.
Approval of content does not mean ClipsPlaza accepts legal responsibility for that content. You remain responsible for your uploaded content.
ClipsPlaza may review content for:
a. compliance with Platform rules
b. legal risk
c. prohibited content
d. missing documents
e. metadata accuracy
f. copyright issues
g. age and consent concerns
h. payment processor requirements
i. marketplace quality standards
You must not upload content that violates ClipsPlaza Content Rules, applicable law, payment processor rules, or this Agreement.
Prohibited content includes but is not limited to:
a. content involving minors or anyone who appears to be under 18
b. content without valid consent from all participants
c. non-consensual, hidden-camera, stolen, leaked, or revenge content
d. content involving coercion, trafficking, exploitation, or abuse
e. content involving animals
f. content involving actual violence, injury, or illegal activity
g. content violating copyright, trademark, privacy, publicity, or contractual rights
h. content containing prohibited words, claims, or metadata
i. content ClipsPlaza determines creates legal, financial, reputational, or processor risk
Additional prohibited content rules may be listed in the ClipsPlaza Content Rules page.
You are responsible for all titles, descriptions, tags, categories, thumbnails, preview videos, model names, studio names, and other metadata submitted with your content.
Metadata must be accurate and must not be misleading, unlawful, defamatory, infringing, or prohibited.
ClipsPlaza may edit, reject, hide, or remove metadata that violates Platform rules or creates risk.
You may be allowed to set or suggest prices for your content, subject to Platform rules, minimum pricing, maximum pricing, promotional rules, and administrative review.
ClipsPlaza may provide pricing suggestions, default prices, or marketplace pricing tools.
ClipsPlaza may restrict or adjust pricing options where necessary for technical, legal, processor, promotional, or marketplace reasons.
For each completed sale, ClipsPlaza will calculate:
a. gross sale amount
b. applicable taxes, processor fees, or adjustments if applicable
c. Platform commission
d. Producer earning
The standard Producer share is 60% of eligible net or gross sale amount, depending on the payment and accounting method defined by ClipsPlaza.
The Platform commission and payout calculation method may be updated from time to time. Any calculated earnings must be stored at transaction time and reflected in the Producer dashboard.
If a sale is refunded, reversed, charged back, disputed, cancelled, suspected of fraud, or otherwise invalidated, ClipsPlaza may deduct or reverse the related Producer earnings.
Producer balances may be adjusted for:
a. refunds
b. chargebacks
c. fraud
d. duplicate payments
e. processor reversals
f. customer disputes
g. tax or accounting corrections
h. content removals
i. violation of this Agreement
Payouts are manual or semi-manual during MVP.
Available payout methods may include Paxum, Wise, bank wire, or other approved methods.
Payout availability depends on:
a. Producer verification
b. payout method approval
c. minimum payout threshold
d. compliance status
e. account standing
f. fraud review
g. payment processor settlement
h. absence of payout holds
ClipsPlaza may change available payout methods at any time.
A minimum payout threshold may apply.
Payouts may be processed monthly, manually, or according to the schedule displayed in the Producer dashboard.
ClipsPlaza is not responsible for delays caused by banks, payment processors, payout providers, incorrect payout information, compliance reviews, sanctions screening, or third-party service providers.
ClipsPlaza may place a payout hold on a Producer account for reasons including but not limited to:
a. incomplete verification
b. missing or invalid model documents
c. suspicious activity
d. customer disputes
e. refund or chargeback risk
f. copyright complaints
g. content rule violations
h. fraud investigation
i. payment processor review
j. legal or regulatory concerns
k. suspected breach of this Agreement
During a payout hold, content may remain active, be hidden, or be removed depending on risk level.
You are responsible for your own taxes, filings, reporting, registrations, and obligations related to earnings received from ClipsPlaza.
ClipsPlaza may request tax forms, tax identification numbers, or other information required by law or payment providers.
ClipsPlaza may withhold, delay, or refuse payout where required information is missing or legally required.
You must maintain complete records proving:
a. identity and age of all participants
b. consent and release authorization
c. ownership or license rights
d. production date where applicable
e. legal authority to sell and distribute the content
You must provide these records to ClipsPlaza promptly upon request.
Failure to provide records may result in content removal, account suspension, payout hold, or account termination.
You must not upload content that infringes the rights of others.
You represent that your content does not violate:
a. copyright rights
b. trademark rights
c. privacy rights
d. publicity rights
e. contractual rights
f. confidentiality obligations
g. platform exclusivity agreements
h. third-party licenses
If ClipsPlaza receives a copyright complaint, DMCA notice, legal notice, or rights complaint, we may remove or disable access to the content and request evidence from you.
Customers who purchase content may receive access to download or view the purchased product according to Platform rules.
If content is later removed from public listing, ClipsPlaza may continue providing access to prior purchasers unless legally required to remove access.
ClipsPlaza may remove customer access if content is illegal, infringing, non-compliant, fraudulent, or otherwise unsafe to provide.
You may request removal or hiding of your content, subject to Platform functionality and prior customer access rules.
Removal from public sale does not automatically delete:
a. transaction records
b. audit logs
c. compliance records
d. customer purchase history
e. backup copies
f. legal or accounting records
g. records required for disputes or investigations
ClipsPlaza may suspend, restrict, or terminate your account if:
a. you violate this Agreement
b. you upload prohibited content
c. you provide false information
d. you fail verification
e. you fail to provide required documents
f. your content creates legal or processor risk
g. you engage in fraud, abuse, spam, or manipulation
h. your account receives repeated complaints
i. required by law, payment processor, or platform policy
Upon suspension or termination, ClipsPlaza may:
a. hide or remove content
b. freeze or hold payouts
c. block uploads
d. restrict login access
e. retain records
f. report illegal activity if required
ClipsPlaza may apply a full or partial studio restriction, including:
a. preventing uploads
b. hiding public clips
c. blocking payouts
d. freezing account activity
e. restricting dashboard access
f. preserving records for review
This may be used in urgent legal, compliance, fraud, or safety situations.
ClipsPlaza controls the operation, design, ranking, search visibility, approval process, category structure, customer interface, promotional tools, and technical functionality of the Platform.
No Producer is guaranteed sales, ranking, traffic, visibility, income, or approval.
You are an independent Producer. Nothing in this Agreement creates an employment relationship, agency, partnership, joint venture, franchise, or representative relationship between you and ClipsPlaza.
You are not authorized to bind ClipsPlaza, make commitments on our behalf, or represent yourself as an employee of ClipsPlaza.
You may receive confidential information about ClipsPlaza, including internal processes, payout systems, pricing rules, business plans, technical systems, moderation decisions, or private communications.
You must not disclose confidential information without written permission.
You agree to defend, indemnify, and hold harmless ClipsPlaza, Valtira LLC, its owners, officers, contractors, service providers, and affiliates from any claim, loss, damage, liability, cost, or expense arising from:
a. your content
b. your breach of this Agreement
c. your violation of law
d. your violation of third-party rights
e. missing or false documentation
f. customer disputes related to your content
g. tax or payout issues
h. fraud or misconduct
To the maximum extent permitted by law, ClipsPlaza is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, lost data, lost goodwill, business interruption, or payment delays.
ClipsPlaza's total liability to you will not exceed the unpaid Producer earnings owed to you for the six months before the claim, excluding amounts subject to holds, disputes, reversals, or legal restrictions.
ClipsPlaza may experience downtime, maintenance, technical errors, payment provider delays, storage issues, CDN outages, or other interruptions.
ClipsPlaza does not guarantee uninterrupted availability, continuous sales, or error-free operation.
ClipsPlaza may update this Agreement from time to time.
Updated terms may be posted on the Platform or provided through the Producer dashboard.
Continued use of the Platform after changes means you accept the updated Agreement.
For material changes, ClipsPlaza may require Producers to accept the updated Agreement before continuing to upload or receive payouts.
This Agreement is governed by the laws of the State of Wyoming, United States, unless otherwise required by applicable law.
Any disputes shall be handled in the courts or dispute forum selected by ClipsPlaza, subject to applicable law.
This Agreement, together with the Terms of Service, Privacy Policy, Content Rules, DMCA Policy, 2257 Notice, Anti-Trafficking Policy, and other Platform policies, forms the entire agreement between you and ClipsPlaza regarding your Producer account and uploaded content.
By creating a Producer account, submitting a studio, uploading content, or receiving earnings, you confirm that:
a. you have read this Agreement
b. you understand it
c. you agree to be bound by it
d. you are legally able to enter into it
e. all information you provide is accurate
f. all content you upload complies with this Agreement and applicable law
