These Terms of Service (“Terms”) govern your access to and use of ClipsPlaza, operated by Valtira LLC (“ClipsPlaza,” “Platform,” “we,” “us,” or “our”).
By accessing ClipsPlaza, creating an account, browsing the Platform, purchasing content, uploading content, or using any Platform feature, you agree to these Terms and all policies referenced in these Terms.
If you do not agree to these Terms, do not use ClipsPlaza.
ClipsPlaza is a digital marketplace that allows approved creators, studios, producers, and content suppliers to upload, list, sell, and distribute downloadable digital media products to customers.
ClipsPlaza provides marketplace technology, hosting, content delivery, search, customer access, payment coordination, administrative review, and payout tracking.
Some content on ClipsPlaza is provided by independent third-party creators, studios, producers, or content suppliers. Those parties are responsible for the content they upload and the rights, records, and consents connected to that content.
You must be at least 18 years old to access or use ClipsPlaza.
By using ClipsPlaza, you represent and warrant that:
a. you are at least 18 years old
b. you have legal capacity to enter into these Terms
c. you will provide accurate information
d. you will comply with applicable laws
e. you will not use the Platform for unlawful purposes
f. you are not prohibited from using the Platform under applicable sanctions, payment provider rules, or law
To use certain Platform features, you may need to create an account.
You agree to:
a. provide accurate and current information
b. keep your login credentials secure
c. not share your account with unauthorized persons
d. promptly update incorrect information
e. notify ClipsPlaza of unauthorized account access
f. accept responsibility for activity under your account
ClipsPlaza may suspend or terminate accounts that provide false information, violate these Terms, or create legal, compliance, financial, technical, or security risk.
ClipsPlaza may support different user roles, including:
a. buyers/customers
b. creators/studio owners
c. producers/content suppliers
d. administrators
e. other approved account types
Different rules and permissions may apply to different user roles.
Creators, studios, producers, and content suppliers are also subject to the Producer / Studio Agreement, Content Rules, 2257 Notice, Anti-Trafficking Policy, DMCA Policy, and other applicable policies.
Buyers may browse content, purchase digital products, view purchase history, and access downloads according to Platform rules.
Buyers must not:
a. share purchased files with others
b. redistribute, resell, upload, leak, or publish purchased content
c. attempt to bypass payment or download restrictions
d. use stolen payment methods
e. commit fraud, chargeback abuse, or account abuse
f. scrape or copy Platform content
g. violate copyright or other rights
Purchased content is provided for personal, non-commercial use only unless ClipsPlaza expressly states otherwise.
Creators, studios, producers, and content suppliers may upload and sell content only after meeting Platform verification and compliance requirements.
Creators and studios must comply with:
a. Producer / Studio Agreement
b. Content Rules
c. 2257 Notice
d. Anti-Trafficking Policy
e. DMCA Policy
f. payout rules
g. all other applicable Platform policies
ClipsPlaza may approve, reject, suspend, restrict, or terminate creator/studio accounts at its discretion.
Creators and studios retain ownership of content they upload, subject to the license granted to ClipsPlaza under the Producer / Studio Agreement and related policies.
Buyers do not acquire ownership of purchased content. Buyers receive limited access for personal use according to the purchase terms and Platform rules.
All Platform software, design, branding, logos, code, layout, databases, systems, and non-user content are owned by or licensed to ClipsPlaza or its service providers.
When a buyer purchases content, the buyer receives a limited, personal, non-exclusive, non-transferable, non-sublicensable license to download and view the purchased content for personal use only.
Buyers must not:
a. upload purchased content to other websites
b. share purchased content publicly or privately
c. sell or resell purchased content
d. distribute purchased content through file-sharing services
e. edit or use purchased content to create unauthorized derivative works
f. remove watermarks or rights notices
g. use purchased content for commercial purposes
h. use purchased content in a way that violates law or third-party rights
Violation of this section may result in account termination, loss of access, legal action, and reporting to rights holders or authorities where appropriate.
Creators and studios are responsible for all content and metadata they upload.
By uploading content, the uploader represents and warrants that:
a. all participants are adults
b. all participants gave valid consent
c. all required age, identity, release, and production records are maintained
d. the uploader owns or controls all rights needed to upload, sell, and distribute the content
e. the content complies with Platform rules and applicable law
f. the content does not infringe third-party rights
g. the content does not involve coercion, trafficking, exploitation, non-consent, or illegal activity
ClipsPlaza may request supporting documents at any time.
The following content is prohibited:
a. content involving minors or suggested minors
b. content involving non-consent, coercion, trafficking, exploitation, or abuse
c. hidden-camera or secretly recorded content
d. stolen, leaked, pirated, or revenge content
e. content involving animals
f. content involving actual violence, serious injury, or illegal activity
g. content that infringes copyright, trademark, privacy, publicity, or contractual rights
h. content that violates payment processor, hosting, CDN, banking, or service provider rules
i. content that ClipsPlaza determines creates legal, compliance, reputational, financial, or safety risk
Additional rules are described in the ClipsPlaza Content Rules and Anti-Trafficking Policy.
ClipsPlaza may review, approve, reject, hide, remove, restrict, or request changes to any content, metadata, studio, model, account, or payout activity.
ClipsPlaza may take moderation action for reasons including:
a. legal compliance
b. content rules
c. age or consent concerns
d. documentation issues
e. copyright complaints
f. payment processor requirements
g. customer complaints
h. fraud prevention
i. marketplace quality
j. technical or security reasons
Approval of content does not mean ClipsPlaza accepts legal responsibility for that content.
Buyers may purchase digital products through payment methods made available by ClipsPlaza or its payment processors.
Prices, taxes, fees, currency, and availability may vary.
ClipsPlaza may use third-party payment processors. Payment processing is subject to those providers’ rules, restrictions, reviews, and approvals.
A purchase is not complete until payment is successfully confirmed by the payment processor and recorded by ClipsPlaza.
Download access is granted only after payment is confirmed.
ClipsPlaza may deny, suspend, or remove access to downloads if:
a. payment fails
b. payment is refunded
c. payment is reversed
d. a chargeback occurs
e. fraud is suspected
f. the account violates these Terms
g. the content is removed for legal or compliance reasons
h. access is restricted by law, payment processor, or Platform policy
Download links may be temporary, limited, or protected by security controls.
Due to the digital nature of downloadable products, all sales may be final once download access is granted, unless ClipsPlaza decides otherwise or applicable law requires otherwise.
ClipsPlaza may consider refunds in cases such as:
a. duplicate payment
b. technical delivery failure
c. wrong file delivered
d. confirmed payment processing error
e. content removed before access was provided
f. other cases determined by ClipsPlaza
Refund abuse may result in account restriction or termination.
A separate Refund Policy may provide additional details.
Unauthorized chargebacks, false disputes, payment fraud, or repeated payment abuse are prohibited.
If a buyer files a chargeback or dispute, ClipsPlaza may:
a. suspend download access
b. restrict or terminate the buyer account
c. preserve records
d. provide evidence to the payment processor
e. block future purchases
f. take legal or collection action where appropriate
For creator/studio earnings, refunds and chargebacks may result in earnings adjustments, reversals, or payout holds.
Creators and studios may earn a share of eligible sales according to the Producer / Studio Agreement and Platform payout rules.
Payouts may be manual or semi-manual during the MVP stage.
ClipsPlaza may withhold, delay, adjust, reverse, or block payouts for reasons including:
a. incomplete verification
b. missing documents
c. refund or chargeback risk
d. fraud review
e. copyright complaints
f. content rule violations
g. legal or compliance concerns
h. processor or bank review
i. sanctions or payout provider restrictions
j. breach of these Terms or Platform policies
No creator or studio is guaranteed sales, traffic, ranking, visibility, or income.
Users are responsible for their own taxes, filings, registrations, reporting, and legal obligations.
Creators and studios are responsible for taxes related to earnings received through ClipsPlaza.
ClipsPlaza may request tax forms, tax identification numbers, invoices, or other information required by law, payment processors, payout providers, or accounting requirements.
You must not:
a. violate any law or regulation
b. use the Platform while under 18
c. provide false identity, age, payment, tax, or account information
d. access accounts or systems without authorization
e. interfere with Platform security
f. scrape, crawl, copy, or mass-download Platform data without permission
g. bypass paywalls, download restrictions, or access controls
h. upload malware, harmful code, or abusive files
i. harass, threaten, blackmail, exploit, or abuse others
j. commit fraud or payment abuse
k. infringe intellectual property rights
l. upload prohibited content
m. attempt to manipulate search, ranking, sales, reviews, or payout systems
n. use the Platform for trafficking, exploitation, coercion, or illegal activity
ClipsPlaza respects intellectual property rights.
Copyright complaints may be submitted under the DMCA Policy.
ClipsPlaza may remove or restrict content in response to copyright, trademark, privacy, publicity, impersonation, or other rights complaints.
Repeat infringers may be terminated.
Users, rights holders, participants, authorities, and third parties may report content that may violate law, rights, consent, age, safety, or Platform rules.
Reports may involve:
a. copyright infringement
b. non-consensual content
c. age or identity concerns
d. privacy violations
e. impersonation
f. prohibited content
g. wrong metadata
h. trafficking or exploitation concerns
i. fraud or illegal activity
ClipsPlaza may remove, hide, restrict, or review reported content.
ClipsPlaza collects, uses, and stores information according to its Privacy Policy.
By using the Platform, you consent to the collection and use of information as described in the Privacy Policy.
Creators and studios may be required to provide identity, payout, tax, compliance, and recordkeeping information.
You are responsible for keeping your account secure.
You must not share login credentials, attempt unauthorized access, or compromise Platform systems.
ClipsPlaza may apply security controls including:
a. account verification
b. password resets
c. access restrictions
d. rate limits
e. suspicious activity review
f. login monitoring
g. account suspension
h. device or IP review where appropriate
ClipsPlaza may experience downtime, maintenance, technical errors, storage issues, CDN issues, payment provider outages, or other interruptions.
ClipsPlaza does not guarantee uninterrupted, secure, error-free, or continuous availability.
ClipsPlaza may modify, suspend, discontinue, or restrict any Platform feature at any time.
ClipsPlaza may rely on third-party services including payment processors, payout providers, hosting providers, cloud storage, CDN providers, analytics providers, email providers, security providers, and other vendors.
ClipsPlaza is not responsible for third-party service delays, outages, fees, restrictions, reviews, or failures.
The Platform is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, ClipsPlaza disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and security.
ClipsPlaza does not guarantee:
a. sales
b. earnings
c. rankings
d. traffic
e. search placement
f. continuous access
g. payment approval
h. payout availability
i. content approval
j. uninterrupted downloads
To the maximum extent permitted by law, ClipsPlaza, Valtira LLC, its owners, officers, contractors, affiliates, service providers, and partners are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes damages for lost profits, lost sales, lost data, business interruption, loss of goodwill, payment delay, account restriction, content removal, or platform downtime.
To the maximum extent permitted by law, ClipsPlaza’s total liability for any claim will not exceed the amount you paid to ClipsPlaza, or the unpaid creator earnings owed to you, during the six months before the claim, excluding amounts subject to disputes, holds, reversals, chargebacks, legal restrictions, or policy violations.
You agree to defend, indemnify, and hold harmless ClipsPlaza, Valtira LLC, its owners, officers, contractors, affiliates, service providers, and partners from any claim, demand, loss, liability, damage, cost, or expense arising from:
a. your use of the Platform
b. your uploaded content
c. your purchased content misuse
d. your breach of these Terms
e. your violation of law
f. your violation of third-party rights
g. your false information
h. your tax, payment, payout, or compliance issues
i. your fraud, abuse, or misconduct
ClipsPlaza may suspend, restrict, or terminate your account at any time if:
a. you violate these Terms
b. you violate Platform policies
c. you create legal, compliance, financial, technical, security, or safety risk
d. your account is involved in fraud, abuse, disputes, or illegal activity
e. required by law, payment processor, bank, host, CDN, or service provider
f. you fail verification
g. you provide false or incomplete information
Upon suspension or termination, ClipsPlaza may:
a. block login
b. remove or hide content
c. disable downloads
d. freeze payouts
e. preserve records
f. cancel pending activity
g. report illegal activity where required
Termination does not eliminate obligations that should reasonably survive, including:
a. payment obligations
b. refund or chargeback obligations
c. intellectual property obligations
d. confidentiality obligations
e. indemnification
f. limitation of liability
g. recordkeeping duties
h. audit logs
i. legal compliance
j. dispute provisions
ClipsPlaza may retain records as needed for legal, accounting, fraud prevention, safety, compliance, customer access, and technical purposes.
These Terms are governed by the laws of the State of Wyoming, United States, unless otherwise required by applicable law.
Any disputes shall be handled in the courts or dispute forum selected by ClipsPlaza, subject to applicable law.
Before filing a claim, you agree to contact ClipsPlaza and attempt to resolve the dispute informally.
ClipsPlaza may provide a contact method for legal or account disputes.
Nothing in these Terms prevents ClipsPlaza from seeking urgent relief for intellectual property violations, security threats, fraud, illegal activity, or misuse of the Platform.
ClipsPlaza may update these Terms at any time.
The updated version will be posted on the Platform with a revised “Last Updated” date.
Continued use of ClipsPlaza after changes means you accept the updated Terms.
For material changes, ClipsPlaza may require users, creators, or studios to accept updated Terms before continuing to use certain features.
If any part of these Terms is found invalid or unenforceable, the remaining parts remain in effect.
Failure by ClipsPlaza to enforce any right or provision does not waive that right or provision.
You may not assign or transfer your rights or obligations under these Terms without ClipsPlaza’s written permission.
ClipsPlaza may assign or transfer its rights and obligations in connection with business operations, restructuring, sale, merger, acquisition, or transfer of assets.
These Terms, together with the Privacy Policy, Refund Policy, DMCA Policy, 2257 Notice, Content Rules, Anti-Trafficking Policy, Producer / Studio Agreement, and other Platform policies, form the entire agreement between you and ClipsPlaza regarding use of the Platform.
